Owlbell — Terms of Service

1. Agreement
By signing an order form, clicking "I agree," or using the Service, you ("Customer") agree to these Terms. If you use the Service on behalf of a business, you represent that you are authorized to bind it.
2. The Service
Owlbell provides a managed, AI-powered phone answering service that may, depending on your plan: answer inbound calls, conduct automated conversations, take messages, book appointments, route or transfer calls, transcribe and (where enabled) record calls, send notifications, and provide a web dashboard and analytics. 3. Customer Responsibilities
You are responsible for:
- (a) the accuracy of the business information, greetings, scripts, FAQs, and routing
rules you provide;
- (b) obtaining all consents and disclosures required to record, transcribe, and
process calls and caller data in every jurisdiction where your callers are located (see the Call Recording & Consent Policy);
- (c) your compliance with laws applicable to your business, including TCPA, CAN-SPAM,
DNC rules, and any industry rules (e.g., HIPAA for healthcare — a BAA is required, see the DPA);
- (d) using the Service only for lawful purposes and not for emergency services
(911), robocalling, harassment, or deceptive practices.
4. Acceptable Use
You will not, and will not permit others to: resell or white-label the Service except under a written partner/Enterprise agreement; reverse engineer the Service; use it to place unlawful outbound calls/SMS; transmit malware; or interfere with the Service's operation or other customers.
5. Fees, Billing & Taxes
- Fees are set out on your order form / plan (https://owlbell.xyz/#pricing). Plans are billed
monthly or annually in advance; usage overages (per-minute/per-call) and add-ons are billed in arrears.
- A one-time setup fee may apply and is non-refundable once onboarding begins.
- Payment is due on the invoice date (NET 0). Late or failed payments may result
in suspension after 10 days' notice and a 1.5%/mo late fee where lawful.
- Fees are exclusive of taxes; you are responsible for applicable taxes.
- We may change prices on 30 days' notice effective at your next renewal.
6. Term, Renewal & Cancellation
- Month-to-month plans renew monthly until cancelled with 30 days' notice.
- Annual plans renew automatically unless cancelled 30 days before renewal.
- We may suspend or terminate for material breach (including non-payment or unlawful
use) not cured within 10 days of notice.
- On termination, your access ends; we will make your data available for export for
30 days, after which it may be deleted (see Privacy Policy / DPA).
7. Service Levels & Availability
We target high availability but, except where an Enterprise SLA is signed, the Service is provided "as available." AI systems are probabilistic and may make mistakes, mishear, or fail to capture information. The Service is not a substitute for emergency services and must not be relied upon for life-safety communications.
8. AI Disclaimer
The Service uses automated speech recognition and language models. Transcriptions, bookings, summaries, and routing may contain errors. You are responsible for reviewing captured messages and confirming appointments. We do not guarantee any specific call outcome, booking rate, or revenue result.
9. Intellectual Property
We retain all rights in the Service and our software. You retain rights in your business content and your customer data. You grant us a limited license to process your content and data solely to provide and improve the Service, subject to the Privacy Policy and DPA. Aggregated, de-identified data may be used to improve the Service.
10. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms.
11. Warranties & Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You will indemnify us against third-party claims arising from your content, your callers' data, your failure to obtain required consents, or your unlawful use of the Service.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, USA. The parties waive any right to a class-action proceeding.
15. Changes
We may update these Terms; material changes take effect on 30 days' notice. Continued use after the effective date constitutes acceptance.
16. Miscellaneous
These Terms (plus your order form, Privacy Policy, and DPA) are the entire agreement. If any provision is unenforceable, the rest remains in effect. Neither party may assign without consent except in a merger or sale of substantially all assets.
